Terms of service

The agreement for trials, paid subscriptions and use of Suite.ng services provided by Copper Ledger LTD.

Effective 27 September 2026

These terms apply when you create, accept access to or use a Suite workspace. A signed order, quote or enterprise agreement may add to them.

Who are you agreeing with?

Suite is provided by Copper Ledger LTD (RC 9819163), Lagos, Nigeria. “You” means the organisation named on the workspace and the person accepting these terms for it. You confirm that you are at least 18 and authorised to bind that organisation.

If a signed quote, order form or enterprise agreement conflicts with these terms, the signed document controls for the subject it covers. Nothing in these terms removes a right that cannot lawfully be excluded.

What does Suite provide?

Suite is business-management software for stores and for guided school and hospital deployments. Available features may include inventory, sales, receipts, invoices, customer and supplier records, debts and repayments, expenses, reports, staff access, public business profiles and optional storefront or third-party integrations.

Your plan, workspace settings and any signed scope determine the features, branches, staff limits, setup, migration, training and support included. Schools and hospitals must complete guided setup before using Suite for sensitive records.

Trials, prices and payment

A new Suite product may begin with a 14-day trial. No card is required and nothing is charged automatically during the trial. Continued use after the trial requires payment or another written arrangement.

Store plan prices and limits are shown on the pricing page. Schools, hospitals and larger groups receive a written quote. Unless a quote says otherwise, subscriptions are paid by Nigerian bank transfer, monthly or yearly in advance. An annual effective monthly price requires payment of the full annual amount.

There is no automatic card renewal for a normal Suite subscription. We may change prices for a future subscription period after giving reasonable notice; a change does not alter a period already paid for.

Cancellation, nonpayment and refunds

You may choose not to renew by telling us before the next period begins. Unless a signed agreement says otherwise, access continues until the end of the paid period. Prepaid fees are generally not refundable after that period has begun, except where required by law, where a payment was duplicated or incorrect, or where we fail to provide a paid service and cannot remedy the failure within a reasonable time.

If payment is overdue, we may move the workspace to read-only access or suspend it after notice. Read-only access allows existing records to be viewed but not new operational records to be created. Contact hello@suite.ng to resolve payment or arrange an export. We will not use these terms to limit a refund, remedy or other consumer right that applicable law requires.

Your account and staff access

You must provide accurate information, keep owner and billing contacts current, protect credentials, and give each staff member their own appropriate access. You are responsible for activity carried out through accounts you authorise and for promptly removing access when a person changes role or leaves.

Tell us promptly at hello@suite.ng if you believe an account, invitation or device has been compromised. Do not share passwords or verification links.

Your records and your responsibilities

You retain ownership of business records and content you enter into Suite. You give Copper Ledger permission to host, copy, transmit, back up, display and otherwise process that material only as needed to provide, secure and support the service, follow your instructions and comply with law.

You are responsible for the accuracy and legality of your records, for telling people how their information is used, for obtaining any consent or other lawful basis required, and for deciding which staff may see it. You must not place patient, student, child or other sensitive information in Suite until the applicable guided setup and data-processing requirements have been agreed.

You should keep independent copies of records needed for tax, regulatory or business-continuity purposes. Contact hello@suite.ng to request an export. Export format and assistance beyond the tools included in your plan may be agreed separately.

Acceptable use

You must not use Suite to break the law or another person’s rights; upload malicious code; probe, bypass or interfere with security or access controls; access another organisation’s workspace; send spam or deceptive messages; reverse engineer the service except where the law expressly permits it; or use the service in a way that materially harms its availability for others.

We may investigate suspected misuse and may restrict the affected account where reasonably necessary to protect users, data, the service or the public. Where practical, we will explain the restriction and allow the issue to be corrected.

Availability, maintenance and support

We use reasonable care to keep Suite available and secure, but internet services can experience maintenance, provider failures, connectivity problems and emergencies. We do not promise uninterrupted or error-free operation. We will communicate material planned maintenance or incidents where reasonably possible.

Backups are taken every 24 hours. A backup schedule is not a promise that every recent change can always be recovered or that restoration will be immediate. Any dedicated response time, uptime commitment or service credit must be stated in a signed enterprise agreement.

Third-party services

Suite may link to or integrate with payment, messaging, insurance, identity, logistics or other third-party services. The third party’s own terms, fees, availability and privacy practices apply to its service. Copper Ledger is responsible for Suite, not for an independent third party’s decision or failure, although we will reasonably assist with an integration issue within our control.

Our software and intellectual property

Copper Ledger and its licensors retain ownership of Suite, its software, design, documentation, branding and improvements. During an active trial or subscription, we give you a limited, non-exclusive, non-transferable right to use the service for your organisation’s internal business operations, subject to these terms and your plan.

Feedback may be used to improve Suite without transferring ownership of your records or confidential information. You may not use the Suite name or marks in a way that suggests an endorsement or partnership we have not approved.

Confidentiality and privacy

Each party must use reasonable care to protect the other party’s non-public business information and use it only for the service or another agreed purpose. This does not cover information that is public without breach, independently developed, lawfully received from another source, or required to be disclosed by law.

Our Privacy Policy explains how Copper Ledger handles personal information. A separate data-processing agreement may be required for a school, hospital, enterprise or other deployment involving sensitive or regulated information.

Suspension and termination

You may stop using Suite and choose not to renew. We may suspend or terminate access for material breach, unlawful use, a serious security risk, nonpayment, or where continuing the service would violate law. Except in an emergency or where prohibited by law, we will give notice and a reasonable opportunity to correct a remediable breach.

When service ends, provisions concerning payment already due, ownership, confidentiality, records required by law, limitations of liability and dispute resolution continue to apply. Contact us promptly about export and retention arrangements; access to a closed workspace is not guaranteed indefinitely.

Warranties and liability

We will provide Suite with reasonable care and skill and will try to correct reproducible service defects reported to us. Suite supports business record-keeping but does not replace professional accounting, tax, legal, medical or regulatory advice. You remain responsible for reviewing entries, prices, reports, filings and business decisions.

To the extent permitted by law, neither party is liable for indirect or consequential loss, loss of profit, loss of opportunity or loss caused by matters outside its reasonable control. Copper Ledger’s total liability arising from the service is limited to the fees paid for the affected Suite service during the 12 months before the event giving rise to the claim.

That limitation does not apply where liability cannot lawfully be limited, including fraud, fraudulent misrepresentation, wilful misconduct, gross negligence, death or personal injury caused by negligence, or a mandatory consumer or data-protection remedy.

Complaints and governing law

Raise a complaint with hello@suite.ng and include enough detail for us to investigate. We will try to resolve it directly and fairly. These terms are governed by the laws of the Federal Republic of Nigeria, and disputes that cannot be resolved directly may be brought before a court with lawful jurisdiction in Nigeria.

Changes and contact

We may update these terms for legal, security or service changes. We will publish the new terms, change the effective date and give reasonable notice of a material change. A material change will apply prospectively; continuing to use Suite after it takes effect means you accept the updated terms.

Questions about these terms should be sent to hello@suite.ng. Copper Ledger LTD is registered in Nigeria as RC 9819163 and operates from Lagos, Nigeria.
